Terms of Use

KAVVOON is a Swiss digital platform specialising in the search, publication and consultation of listings relating in particular to:

• the sale and purchase of businesses;
• the sale, purchase or transfer of companies;
• the transfer of commercial activities;
• the search for successors, buyers or investors;
• the gastronomy, hotel, retail, beauty and wellness sectors;
• other professional sectors listed in the "Other" category.

KAVVOON may also offer additional content, including news, events, search tools, professional profiles, tracking systems and matching features.

KAVVOON acts primarily as a provider of technical infrastructure enabling users to publish, search and consult listings.

Unless otherwise agreed in a separate written mandate, KAVVOON:

• is not a party to transactions concluded between users;
• does not act as a seller, buyer, broker, agent, trustee, lawyer or financial advisor;
• does not represent users in negotiations;
• does not guarantee the conclusion of a transaction;
• provides no guarantee regarding the profitability, solvency, value or legality of an advertised business.

Users remain solely responsible for their decisions, verifications, negotiations and contractual commitments.

By accessing the platform, creating an account, subscribing to a plan or publishing a listing, the user confirms that they:

• have read these terms;
• understand them;
• accept them without reservation;
• have the necessary legal capacity to enter into a commitment.

In case of disagreement, the user must stop using KAVVOON.

General browsing of certain pages may be open without registration.

KAVVOON may however require the free creation of an account to:

• view the full details of a listing;
• contact a seller or agency;
• save favourites;
• follow a profile;
• receive notifications;
• publish a listing;
• access messages and personal features.

The user must be at least 18 years of age and have full civil rights.

When registering, the user must provide accurate, current and complete information. It is notably prohibited to:

• create an account under a false identity;
• use the identity or contact details of a third party without authorisation;
• create multiple accounts in order to circumvent a suspension or limitation;
• transfer their account to a third party without prior authorisation.

KAVVOON may request verification of the email address, telephone number, identity or company.

The user is responsible for:

• the confidentiality of their password;
• the use of their account;
• the actions carried out from their account;
• keeping their contact details up to date.

Any suspicious use must be reported immediately to contact@kavvoon.ch.

KAVVOON may temporarily suspend an account in the event of a security risk.

Depending on the available features, users may:

• follow an agency, broker or individual;
• receive information about their new listings;
• display their number of followers and followed accounts;
• manage their active, closed or sold listings;
• exchange messages with other users.

The number of followers or sales displayed does not constitute a guarantee of competence, reliability or solvency.

Certain subscriptions may include a verified badge.

This badge only signifies that certain information or conditions defined by KAVVOON have been checked. It does not constitute:

• a guarantee of solvency;
• an official certification;
• a guarantee of quality;
• a validation of all information contained in the listings;
• an investment recommendation.

KAVVOON may withdraw the badge in the event of subscription expiry, inaccurate information, abuse or breach of the terms.

The user undertakes to:

• use the platform in accordance with Swiss law;
• respect the rights of third parties;
• publish only accurate and lawful information;
• respect the confidentiality of exchanges;
• not use the data obtained for abusive purposes;
• not disrupt the operation of the platform;
• not use any unauthorised robot, script or automated system;

The following are notably prohibited:

• fictitious or misleading listings;
• scams and fraud attempts;
• identity theft;
• money laundering;
• discriminatory, hateful, violent or defamatory content;
• activities or products prohibited by law;
• malware, dangerous links or phishing attempts;
• mass collection of personal data;
• unauthorised resale of KAVVOON data;
• sending unsolicited commercial messages;
• publication of confidential data belonging to a third party;
• artificial manipulation of views, followers, ratings or search results.

Users are responsible for the content of their communications.

KAVVOON may implement automatic or human systems designed to detect spam, fraud, malware or illicit behaviour.

KAVVOON does not guarantee the identity, intentions or reliability of the other party.

Before signing a contract or making a payment, users should notably verify:

• the identity of the seller and their powers of representation;
• the legal existence of the company;
• commercial register entries;
• annual accounts and tax returns;
• debt enforcement proceedings, debts and commitments;
• lease agreements;
• licences, authorisations and permits;
• employment contracts;
• inventory, equipment and stock;
• intellectual property rights;
• any legal proceedings;
• tax, financial and legal aspects.

It is recommended to consult a lawyer, fiduciary, notary or any other independent specialist.

The "Media" and "Events" sections may present content from external sources.

KAVVOON may display notably:

• a title;
• a summary;
• an authorised image;
• the source;
• the date;
• a link to the original content.

The rights to these contents remain the property of their respective authors or publishers.

KAVVOON does not guarantee the accuracy, completeness, availability or currency of information published by external sources.

The platform may contain links to third-party sites.

KAVVOON exercises no control over these sites and is not responsible for:

• their content;
• their data practices;
• their availability;
• the services offered;
• any damages that may result from their use.

KAVVOON endeavours to keep the platform accessible but does not guarantee continuous or error-free operation.

Interruptions may occur notably for:

• maintenance;
• updates;
• technical incidents;
• security measures;
• events beyond our control.

KAVVOON may warn, limit, suspend or delete an account notably in the event of:

• breach of these terms;
• suspected fraud;
• false identity;
• non-payment;
• repeated publication of prohibited content;
• risk to users or the platform;
• request from a competent authority.

In the event of an emergency or serious risk, suspension may occur without notice.

The user may request the closure of their account from the settings or by writing to contact@kavvoon.ch.

Account deletion does not necessarily immediately erase:

• invoices;
• proof of consent;
• information necessary for the defence of rights;
• data that must be legally retained;
• content already transmitted to other users.

The name KAVVOON, its logo, design, texts, structure, databases, code and graphic elements are protected.

Any unauthorised reproduction, extraction, adaptation or commercial use is prohibited.

The user retains their rights to the content they publish. However, they grant KAVVOON a non-exclusive, free licence valid during the publication to:

• host the content;
• display it;
• reproduce it technically;
• adapt it to the platform's formats;
• translate it, where applicable;
• promote it on KAVVOON and its communication channels.

KAVVOON may modify, add or remove certain features.

Significant changes affecting a paid subscription will be communicated within a reasonable period where possible.

These GTC govern the subscriptions and paid options offered by KAVVOON to individuals, sellers, brokers and agencies.

KAVVOON may offer notably:

• a free plan;
• a Basic plan;
• a Pro plan;
• a Premium plan;
• offers for agencies;
• featured listing or visibility options.

Each plan may determine:

• the number of active listings;
• the number of photos per listing;
• the number of featured listings;
• access to the verified badge;
• the publication duration;
• access to statistics;
• reserved features.

The exact services and prices displayed at the time of ordering shall prevail.

Prices are indicated in Swiss francs.

They are displayed: VAT NOT INCLUDED.

KAVVOON may modify its prices for future periods. A modification does not apply retroactively to a period already paid.

Before paying, the user may verify:

• the chosen plan;
• its price;
• its duration;
• the included features;
• any renewal terms.

The contract is concluded when:

1. the user accepts these terms;
2. payment is confirmed;
3. KAVVOON confirms the activation of the subscription.

A confirmation is sent electronically.

Payments may be processed by Stripe or another secure provider.

KAVVOON generally does not receive full bank card numbers.

The user authorises the payment provider to process the information necessary for payment, fraud prevention and refund management.

The duration of each subscription is indicated at the time of ordering.

Unless otherwise stated, a monthly period corresponds to a duration of thirty days or a calendar month depending on the offer displayed.

Option to be adapted before publication:

If subscriptions renew automatically:

The subscription is automatically renewed for an equivalent period until cancelled.

The user may deactivate the renewal from their account before the next due date.

The renewal price and frequency are displayed before ordering.

The user may change plans from their account.

The rules for proration, effective date and billing are displayed before validating the change.

Listings and data are not deleted solely due to a change of plan.

In the event of payment failure or refusal:

• the paid subscription is not activated or renewed;
• KAVVOON may limit paid functions;
• the user may try another payment method;
• amounts due remain payable, where applicable.

Upon expiry:

• paid features are deactivated;
• the verified badge may be withdrawn;
• featured listings lose their priority;
• the creation of new listings may be limited;
• data remains retained in accordance with the Privacy Policy.

KAVVOON may choose to temporarily maintain existing listings or place them in inactive mode.

The user must provide all information necessary for the performance of the service and use compatible equipment.

KAVVOON is not responsible for an inability to use the service due notably to:

• the user's phone or computer;
• their internet connection;
• an outdated browser;
• settings blocking certain functions;
• incorrect information provided by the user.

All rights to the platform, its brand, software, editorial content and design are reserved.

Trademarks, images and content belonging to third parties remain the property of their holders.

Despite the checks carried out, KAVVOON does not guarantee that all information is accurate, complete or constantly updated.

A listing must:

• relate to a real activity;
• be published by an authorised person;
• be classified in the correct category;
• contain accurate information;
• be written clearly;
• indicate a realistic price or "price on request";
• comply with Swiss law;
• respect the rights of third parties.

Depending on the category, KAVVOON may require:

• category and sub-category;
• canton and location;
• type of business;
• sale price;
• net rent;
• operating expenses;
• surface area;
• number of seats;
• turnover;
• years in business;
• equipment;
• required authorisations;
• a complete description;
• photographs.

It is prohibited to publish:

• a false listing;
• an already sold listing presented as available;
• misleading information;
• contact details belonging to a third party;
• confidential documents;
• excessive personal data;
• photographs without authorisation;
• discriminatory remarks;
• offers contrary to the law;
• pyramid schemes;
• fraudulent investments;

Photographs must:

• represent the business or premises concerned;
• be sufficiently recent;
• not be misleading;
• not contain illegal content;
• respect copyright and image rights.

KAVVOON may resize, compress or crop images for technical reasons.

The seller must have the necessary authorisations to:

• advertise the business;
• use the photographs;
• mention the commercial premises;
• communicate financial information;
• use the brand or sign;
• announce a lease transfer where the landlord's consent is required.

KAVVOON may:

• request supporting documents;
• correct the category;
• mask certain data;
• refuse a listing;
• suspend publication;
• delete a listing;
• limit the account.

KAVVOON is not obliged to publish all submitted listings.

When KAVVOON integrates a listing from an external source, the platform may display:

• a limited excerpt;
• the source;
• a link to the original listing;
• the retrieval date;
• an indication that it is external content.

KAVVOON must respect copyright, the source's terms of use and any necessary authorisations.

The rights holder may request the correction or removal of content at contact@kavvoon.ch.

The seller must promptly:

• update information that has become inaccurate;
• indicate that a deal is reserved;
• close the listing when the business is sold;
• delete information that should no longer be published.

KAVVOON may delete identical or substantially similar listings published multiple times.

The display order may depend notably on:

• relevance;
• date;
• location;
• user preferences;
• subscription type;
• featured options;
• quality or completeness of the listing.

Sponsored or featured listings must be identifiable.

A user may report notably:

• a fraudulent listing;
• a false identity;
• an already sold listing;
• a misleading price;
• a copyright infringement;
• abusive use of a trademark;
• an infringement of personality rights;
• an attempted scam;
• an abusive message;
• a malicious link;
• illegal content;
• a breach of confidentiality.

The report may be made:

• using the "Report" button;
• by email to contact@kavvoon.ch;
• by post to the operator's address.

The report should include:

• the link or reference of the listing;
• the specific reason;
• a description of the facts;
• available evidence;
• the reporter's contact details;
• where relevant, proof of the rights invoked.

KAVVOON may:

• examine the content;
• request additional information;
• contact the advertiser;
• temporarily hide the listing;
• delete the content;
• suspend the account;
• retain evidence;

Filing a report does not automatically guarantee the removal of the content.

It is prohibited to use the reporting procedure to:

• harm a competitor;
• have a legitimate listing removed;
• intimidate a user;
• transmit false information.

Abusive use may result in measures against the reporter's account.

In the event of immediate danger, threat or ongoing offence, the user must contact the competent police services directly.

Within the limits permitted by law, KAVVOON is not liable for:

• information provided by users;
• decisions made based on a listing;
• business losses;
• negotiations between users;
• defects of a sold business;
• hidden debts or liabilities;
• fraudulent acts of a user;
• external content;
• temporary interruptions;
• indirect damages or loss of profits.

The limitations do not apply where liability cannot be legally excluded, notably in the case of intentional misconduct or gross negligence.

The user is liable for damages caused by:

• their content;
• a breach of these terms;
• an infringement of the rights of a third party;
• fraud;
• illegal use of the platform.

KAVVOON may modify these terms to take account of:

• a legal development;
• a new feature;
• a change of provider;
• a commercial development;
• a security measure.

Significant modifications will be communicated appropriately.

The version published on the platform is the applicable version.

These terms are governed by Swiss law.

Subject to mandatory jurisdictions provided by law, the courts of KAVVOON's registered office shall have jurisdiction.

The mandatory rights of consumers concerning the competent court remain reserved.

Before initiating proceedings, the parties are invited to attempt to resolve the dispute amicably by writing to contact@kavvoon.ch.

If a provision is invalid, the other provisions remain applicable.

The invalid provision shall be replaced, to the extent possible, by a valid provision pursuing a similar economic objective.

The fact that KAVVOON does not immediately exercise a right does not constitute a waiver of that right.

The documents may be offered in French, German, Italian and English.

In the event of any discrepancy: THE FRENCH VERSION SHALL PREVAIL.
